Carolyn L. Dorazio
Carolyn L. Dorazio is the principal shareholder and founder
of Dorazio Law Group, P.C., practicing in Pittsburgh, Pennsylvania.
Ms. Dorazio specialized in the areas of general corporate,
commercial transactions, estate administration and orphans'
court litigation, real estate, tax and commercial litigation.
She received a Bachelor of Arts degree from Pennsylvania
State University, State College, PA and a Masters of Business
Administration in Business and Finance from Indiana University
of Pennsylvania, Indiana, PA. She was awarded her Juris Doctorate
from Duquesne University School of Law, Pittsburgh, Pennsylvania.
Throughout her legal career, Ms. Dorazio has negotiated,
drafted and reviewed numerous commercial, corporate and financial
documents, including credit agreements, private placement
memorandums, bond indentures, security agreements, and purchase
agreements associated with the buying and selling of businesses
and capital infusions. She is an advocate in orphans' court
litigation regarding power of attorney and will contest issues.
She participates in tax negotiations with the Internal Revenue
Service on behalf of her clients. She was an associate in
the Business Department at Obermayer, Rebmann, Maxwell &
Hippel, LLP for four years. Prior to joining Obermayer, she
served as inside General Counsel to a Pittsburgh-based investment
management firm, and was an Assistant Vice President, Private
Placements, for Mellon Bank, N.A. Her experience has included
negotiating, structuring, and documenting, non-public financial
transactions including debt, equity and warrant combinations.
Ms. Dorazio has drafted distributorship and license agreements,
buy/sell agreements, and commercial real estate leases and
handled various tax issues in a variety of industries, including
manufacturing, distribution, retail, service technology and
real estate. In the real estate field, her expertise covers
structuring Section 1031 transactions as well as commercial
real estate transactions involving debt, equity or buyout
components.
Ms. Dorazio's experience includes selection and formation
of business entities, and structuring the transaction for
the minimization of federal, state, and local taxes.
Ms. Dorazio has also held various corporate finance positions
within the Treasury Department of Consolidated Natural Gas
Company, Pittsburgh, prior to beginning her legal career.
These positions included Senior Financial Analyst where she
managed the short-term investment portfolios and corporate
cash management programs. She also holds a Pennsylvania real
estate license and is a Licensed Title Insurance Agent in
the Commonwealth of Pennsylvania. She completed over ten years
ago, Level 1 of the Chartered Financial Analyst (CFA) Certification
for Investment Managers.
Ms. Dorazio is a member and volunteer for various professional
and community based organizations. She also participates in
various corporate sections of the American, Pennsylvania and
Allegheny County Bar Associations. She is admitted to practice
in Pennsylvania and admitted to the U.S. Tax Court.
